By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Definitions

For the purposes of these Terms:

  • "Service" refers to the DLMS software platform, including all features, functionalities, and related services provided by DentoWireSoft.
  • "User Data" means any data, content, or information you submit, upload, or generate through the Service.
  • "Aggregated Data" refers to data that has been anonymized, de-identified, and combined with data from other users in a manner that does not identify any individual or organization.
  • "Account" means your registered account to access and use the Service.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you are at least 18 years of age, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

DLMS is a comprehensive software-as-a-service (SaaS) platform designed for dental laboratories. The Service provides tools for case management, doctor portal integration, invoicing, payment tracking, staff management, and business analytics. We continuously improve and update the Service to enhance functionality and user experience.

4. User Accounts and Security

When creating and maintaining your Account, you agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Immediately notify us of any unauthorized access or security breach
  • Accept full responsibility for all activities conducted through your Account
  • Not share your account credentials with unauthorized third parties

5. Subscription, Fees, and Payment

5.1. Subscription Plans: Access to Service features is governed by subscription plans with defined usage limits and capabilities.

5.2. Payment Terms: Subscription fees are billed in advance according to your selected billing cycle. All fees are exclusive of applicable taxes.

5.3. Non-Refundable: All payments are non-refundable except where required by applicable law or at our sole discretion.

5.4. Price Changes: We reserve the right to modify pricing with at least 30 days' prior notice. Continued use after price changes constitutes acceptance.

6. Data Ownership and User Content

6.1. Your Data: You retain all ownership rights to your User Data. We do not claim ownership of any content you create, upload, or store using the Service.

6.2. License to Provide Service: By using the Service, you grant us a limited, non-exclusive license to access, process, and display your User Data solely for the purpose of providing and improving the Service.

7. Data Usage for Service Improvement

7.1. Aggregated Data: You acknowledge that DentoWireSoft may collect and use anonymized, aggregated data derived from your use of the Service. This data contains no personally identifiable information and cannot be traced back to you or your organization.

7.2. Purpose: We use Aggregated Data to improve Service functionality, develop new features, train our software algorithms, and ensure system security.

7.3. Data Protection: We implement robust measures to ensure complete anonymization and compliance with applicable data protection laws.

7.4. No Commercial Sale: We do not sell your data to third parties for marketing or advertising purposes.

8. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful, fraudulent, or malicious purpose
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Interfere with, disrupt, or overload the Service or connected networks
  • Upload, transmit, or distribute viruses, malware, or harmful code
  • Reverse engineer, decompile, or attempt to extract the source code
  • Resell, sublicense, or redistribute the Service without written authorization
  • Use automated tools to scrape, copy, or extract data from the Service
  • Violate any applicable laws, regulations, or third-party rights

9. Intellectual Property Rights

The Service, including all software, designs, logos, trademarks, and documentation, is the exclusive property of DentoWireSoft and is protected by intellectual property laws. These Terms grant you no rights to our intellectual property except the limited right to use the Service as expressly permitted herein.

10. Service Availability and Modifications

10.1. Availability: We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10.2. Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

12.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DENTOWIRESOFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

12.2. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless DentoWireSoft, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

14.1. By You: You may terminate your Account at any time by contacting our support team or using the account settings.

14.2. By Us: We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees.

14.3. Effect of Termination: Upon termination, your right to use the Service ceases immediately. You may request data export within 30 days of termination. After this period, your data may be permanently deleted.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules. You agree to waive any right to participate in class action lawsuits against DentoWireSoft.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which DentoWireSoft operates, without regard to conflict of law principles.

17. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or prominent notice within the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DentoWireSoft regarding the Service and supersede all prior agreements, understandings, and representations.
